1. About these terms
These General Terms and Conditions (“Terms”) apply when a business customer uses the services of AERTiCKET Sweden AB, Östergatan 21, 211 25 Malmö, Sweden (“AERTiCKET”, “we”, “us”), a company in the AERTiCKET Group.
Our services are intended exclusively for businesses, such as travel agencies, tour operators, online portals and corporate customers. They are not offered to consumers. By registering for or using our services, you confirm that you act on behalf of a business and that you are authorised to accept these Terms on its behalf.
If a separate written agreement has been entered into between you and us, that agreement takes precedence over these Terms in case of conflict.
2. Definitions
- Customer or you: the business that registers for or uses the Services.
- Services: our booking platform AERTiCKET Flights (b2b.aerticket.se), the AERTiCKET API, ticketing, group bookings, helpdesk and emergency service, and related services.
- Booking: a reservation, ticket or ancillary service made through the Services.
- Supplier: an airline or other provider of travel services that is booked through the Services.
- Traveller: the person who will travel under a Booking.
- User: an individual whom the Customer authorises to use the Services.
3. Registration and customer account
You must provide complete and accurate information when registering, including company name, organisation number, VAT number and contact details, and keep this information up to date.
We may carry out credit checks and request documentation, a security deposit, a bank guarantee or other security before granting or extending access or credit. We may refuse, limit or withdraw access at our discretion, for example if information is incorrect or the credit risk is too high.
4. Users, credentials and API keys
You are responsible for ensuring that only authorised Users access the Services and that they comply with these Terms. Login details, one-time codes and API keys must be kept confidential. You are responsible for all Bookings and other actions made with your credentials, and you must notify us immediately at helpdesk@aerticket.se if you suspect unauthorised use.
5. Our role
AERTiCKET is a flight consolidator. We provide booking technology, fares and ticketing services, but we do not operate flights or other travel services. The contract of carriage is concluded between the Traveller and the Supplier, and the Supplier’s conditions of carriage, fare rules and policies apply in addition to these Terms.
You are the seller towards the Traveller. Where you combine flights with other travel services, you are responsible for complying with the Swedish Package Travel Act (paketreselagen 2018:1217) or corresponding legislation, including any obligation to provide a travel guarantee. Passenger rights under Regulation (EC) No 261/2004 are claimed against the operating airline, but we will assist you where we can.
6. Use of the platform and API
We grant you a limited, revocable, non-exclusive and non-transferable right to use the Services for your legitimate travel business during the term of the agreement. You may not:
- make speculative, duplicate, fictitious or test Bookings in the production environment, or churn segments;
- circumvent ticketing deadlines, booking limits, credit limits or security measures;
- resell or publish net or private fares in breach of the applicable fare rules or Supplier conditions;
- scrape, crawl or systematically extract data from the Services without our written consent;
- introduce malware or otherwise interfere with or overload the Services;
- copy, modify, reverse engineer or create derivative works of the Services;
- use the Services for any unlawful or fraudulent purpose.
If you use the AERTiCKET API, you must follow our technical documentation and onboarding instructions, and respect the agreed rate limits and look-to-book ratios. API access requires our approval. We may charge you for costs caused by excessive search volumes.
We may suspend access, cancel Bookings or correct Bookings if we reasonably suspect misuse or a breach of these Terms.
7. Bookings, fares and availability
- Fares and availability change continuously and are only guaranteed once a ticket has been issued.
- All Bookings are subject to the Supplier’s fare rules, which you must review and communicate to the Traveller. Many fares are non-refundable and non-transferable.
- You are responsible for ensuring that Traveller names and other data are correct and match the travel documents. Name corrections are subject to Supplier rules and may incur fees.
- Option bookings are cancelled automatically if they are not ticketed before the ticketing deadline.
- In case of obvious errors in prices or availability, we may correct or cancel the affected Booking and refund any amounts received.
- Seats, baggage, meals, special assistance and other requests are subject to Supplier confirmation and may be charged separately.
8. Prices, payment and invoicing
Prices are stated in the currency shown in the platform or on the invoice. Value added tax is charged in accordance with the Swedish VAT Act (mervärdesskattelagen 2023:200).
Payment is made by invoice within the agreed credit limit, by card or by another method we accept. Invoices are due for payment as stated on the invoice. On late payment, we charge interest in accordance with the Swedish Interest Act (räntelagen 1975:635), as well as reminder fees and compensation for collection costs in accordance with the Act on Compensation for Debt Collection Costs (lagen 1981:739 om ersättning för inkassokostnader m.m.).
If you do not pay on time, we may suspend your access, cancel unticketed Bookings and adjust your credit limit. We may set off amounts you owe us against refunds or credits due to you. If you pay by card, you are responsible for any chargebacks and related costs resulting from unauthorised or improper use of the card.
9. Agency debit memos
You are responsible for agency debit memos (ADMs), penalties and fees that airlines or GDS providers charge as a result of your Bookings or your Users’ actions, for example duplicate or speculative bookings, fictitious names, misuse of time limits, incorrect reissues or breaches of fare or ticketing rules. We will pass these costs on to you together with a reasonable administration fee.
10. Changes, cancellations and refunds
- Changes, cancellations and no-shows are governed by the Supplier’s rules and may incur fees or not be permitted.
- Change and cancellation requests must be submitted through the Services or to our helpdesk within the time allowed. Close to departure, the Traveller may need to contact the airline directly.
- Refunds are paid only once we have received the funds from the Supplier, less applicable fees. Our service fees are non-refundable unless otherwise stated.
- During disruptions such as strikes, extreme weather or airline insolvency, rebooking, waivers and refunds depend on the Supplier’s policies. We are not liable for refunds that a Supplier fails to pay.
11. Travel documents
You must inform Travellers that they are responsible for holding valid passports, visas, transit permits and health documents and for meeting entry and exit requirements. We are not responsible if a Traveller is denied boarding or entry because of missing or incorrect documents.
12. Personal data
Each party is responsible for complying with the EU General Data Protection Regulation (GDPR) and applicable data protection law. You must have a lawful basis to share Travellers’ personal data with us and must inform Travellers how their data is processed, including that it is shared with us and with Suppliers.
We process Traveller data as an independent controller for making and servicing Bookings and complying with our legal obligations, as described in our Privacy Policy. Where we process personal data on your behalf for other purposes, we will enter into a data processing agreement with you.
13. Intellectual property
All rights to the Services, including software, the API, content, databases and trademarks, belong to us, the AERTiCKET Group or our licensors. You receive no rights beyond those expressly granted in these Terms. We may freely use feedback that you give us about the Services.
14. Platform availability and changes
We aim to keep the Services available at all times, but do not guarantee uninterrupted or error-free operation unless agreed in a separate service level agreement. We may carry out maintenance and change, add or remove features. We will try to give notice of planned maintenance and of changes that materially affect API integrations.
15. Limitation of liability
We are not liable for Suppliers’ acts or omissions, such as delays, cancellations, overbooking or insolvency, nor for indirect or consequential loss, including loss of profit, revenue, business or data.
Our total liability for damage arising from a Booking is limited to the service fees you have paid to us for the affected Booking or Bookings.
The limitations in this section do not apply if we have caused the damage intentionally or through gross negligence, or where liability may not be limited under mandatory law.
Claims must be made in writing within a reasonable time after you discovered or should have discovered the circumstance giving rise to the claim, and no later than six months after that date. Otherwise the claim is forfeited.
16. Indemnity
You shall hold us and the AERTiCKET Group harmless from claims, damages and costs, including reasonable legal costs, arising from your breach of these Terms or applicable law, inaccurate data provided by you, chargebacks, ADMs, or claims from Travellers or Suppliers attributable to you or your Users.
17. Force majeure
Neither party is liable for failure to perform its obligations due to circumstances beyond its reasonable control, such as war, terrorism, pandemics, natural disasters, strikes, decisions by authorities, airline insolvency, or failures in GDS, airline or telecommunications systems. The affected party must notify the other party without delay.
18. Sanctions and anti-corruption
You confirm that neither you nor your owners, board members or senior management are subject to sanctions imposed by the EU, the UN, the United Kingdom or the United States. You may not use the Services in breach of applicable sanctions, anti-corruption or anti-money-laundering legislation, and you must notify us immediately if your status changes.
19. Term and termination
The agreement applies until further notice. You may terminate it at any time by written notice. We may terminate it with 30 days’ written notice, or with immediate effect if you materially breach these Terms, fail to pay, become insolvent, are subject to sanctions or are reasonably suspected of fraud.
On termination, all outstanding amounts become due. Sections that by their nature should continue to apply, such as those on payment, ADMs, liability, indemnity and disputes, survive termination.
20. Changes to these terms
We may amend these Terms. We will notify registered customers of material changes by email or in the platform at least 30 days before they take effect. If you continue to use the Services after the changes have taken effect, you are deemed to have accepted them.
21. Miscellaneous
- You may not assign your rights or obligations without our written consent. We may assign the agreement to another company in the AERTiCKET Group.
- If a provision is found to be invalid, the remaining provisions still apply.
- A failure to enforce a provision is not a waiver of our rights.
- We may give notice by email, in the platform or by post to the address you have registered.
- These Terms are written in English. If they are translated, the English version prevails.
22. Governing law and disputes
These Terms and any agreement under them are governed by Swedish law, without regard to its conflict-of-law rules.
The parties shall first try to resolve disputes through negotiation. Disputes that cannot be resolved in this way shall be settled by a Swedish general court, with Malmö District Court (Malmö tingsrätt) as the court of first instance.
